Terms & Conditions The __________________________________ and ___________________ (hereinafter referred to as vendor) agree to adhere to the terms of this proposal, that when fully executed by both parties becomes a formal contract. This contract is for vendor participation at the __________________________ to be held at _________________________ on __________________. The parties to this vendor contract agree to the following terms and conditions: VENDOR CONTRACT ALL RIGHTS RESERVED BY SOUTHWEST PUBLISHING MARKETING AND ENTERTAINMENT (SPME) Section 1: Cost of Participation Rules The vendor agrees to remit payment to Southwest Publishing dba Southwest Publishing, Marketing and Entertainment (SPME) as follows: 1. The contract cost of the event participation for the date is a non refundable fee (for nonprofit) as listed below: a. $_____non-food booth (retail) b. $____ food booth 2. The contract cost of event participation for the date is a non-refundable fee (for profit) as listed below: a. $_____non-food booth b. $_____food booth 3. An additional refundable deposit of $____ is required at the signing of this contract for any booth in addition to the booth fee. The deposit will be returned to the vendor within 30 days of the event closure. An inspection of the booth will be conducted at the beginning and at the end of the event. The inspection must be signed by the vendor and vendor coordinator. The deposit will be reimbursed, minus any special charges/fees/penalties assessed. Damages or cost incurred will be the responsibility of the vendor including the failure to comply with all rules. 4. All payments should be made to Southwest Publishing dba Southwest Publishing Marketing and Entertainment. 5. Contract, payments, deposits (if applicable) & checklist must be submitted by _______________. 6. Food vendors must be registered by the New Mexico Environment Department and must include evidence of certification upon submission of application. 7. All vendors must provide a certificate of permits upon submission of application. Section II: Terms and Conditions 1. Southwest Publishing, Marketing and Entertainment shall accept and vendors must provide the following, upon full payment and compliance with this rental agreement: a.. Vendor Checklist b. Vendor Tent - Space size for all vendors (Food and Non-food). Vendor coordinator will inform vendors of booth location. c. Tables and Chairs—(1) 6-foot table and (2) chairs for non-food and (2) 6-foot tables and (4) chairs for food vendors. d. Vendors are responsible for back-up electricity and water. 2. The vendor in turn shall provide and be responsible for the following: VENDOR CONTRACT ALL RIGHTS RESERVED BY SOUTHWEST PUBLISHING MARKETING AND ENTERTAINMENT (SPME) a. New Mexico Department of Health and Sanitation requires that vendors have at least one certified vendor on site at all times. No food vendor can begin operations without this certification. Southwest Publishing, Marketing and Entertainment are not responsible for providing this certification to vendors. Southwest Entertainment is responsible for enforcing this law and failure to comply will result in the forfeiture of your food booth and all payments. There will be no exceptions. b. Vendors are required to have a Certificate of Insurance and or permit. c. Food vendors must have calibrated food thermometers at all times and must display food temperature log to be checked by an authorized festival representative if necessary. d. Food vendor will provide all supplies relating to the food vendor’s sale of food, including ice, refrigeration, stove and/or propane gas grill (limit one each) at the event site. e. Food vendor must provide Southwest Publishing, Marketing and Entertainment with a list of all equipment that will be used within the booth space. This document is due with the contract and payment by _____________ f. Food vendor must complete and submit the attached Employee list and completed application by ___________. g. The vendor shall provide appropriate garbage bins, garbage bags, and shall be responsible to maintain their festival booth at all times in a clean and orderly manner in at all times in accordance with all health code. Vendors are responsible for placing trash in dumpster’s available onsite. h. Vendor shall provide adequate electrical extension cords of 25 feet only as required by fire code. Failure to comply with this term and condition may result in closing the vendor’s booth. Southwest Publishing, Marketing and Entertainment are not responsible for providing any electrical extension cords. I. Food vendors shall be required to have on the premises at all times (2) ABC fire extinguishers (standard size). Failure to have this item will delay the opening of the vendor booth. This is a requirement of the fire department. j. Food vendor will be fully responsible for the operation of all equipment (stoves, refrigerators, etc.). The vendor will not hold Southwest Entertainment liable for any failure in operation of equipment. k. Vendors and staff are prohibited from selling, distributing, or consuming any alcoholic beverages at any time while on the festival site. Failure to comply will result in the automatic closure of the vendor’s booth and forfeiture of any fees and deposit paid. l. Vendors shall be subject to unannounced inspections. Failure to comply will result in temporary closure of booth until compliance. Non-compliance will result in automatic forfeiture of all fees and operations. m. Southwest Publishing, Marketing and Entertainment reserves the right of exclusivity for any product sold, resold, or displayed at all Southwest Publishing, Marketing and Entertainment events. Violation is grounds for immediate termination of this agreement and forfeiture of all deposits unless otherwise approved by the Southwest Publishing, Marketing and Entertainment team. n. No pornographic or offensive display or merchandise will be allowed or sold. VENDOR CONTRACT ALL RIGHTS RESERVED BY SOUTHWEST PUBLISHING MARKETING AND ENTERTAINMENT (SPME) o. The sale of pirated music or merchandise is illegal. Violators are subject to arrest, confiscation of goods and forfeiture of fees and deposits. p. The merchandise, vendor, staff, agents and/or persons associated with such vendor shall be prohibited, during the entire festival series from selling any merchandise which announces or proclaims the Southwest Publishing, Marketing and Entertainment. In addition, such vendor shall be prohibited from using Southwest Publishing Marketing Entertainment logo without express written permission from the Southwest Publishing, Marketing and Entertainment team. Failure to comply with this term shall result in automatic closure of the vendor booth, forfeiture of all fees and deposits, and the confiscation of all items. At no time will Southwest Publishing, Marketing and Entertainment return any of these items. q. Vendor shall be subject to and shall comply with all of the vendor rules and regulations of the City, including complying with all regulations applicable to temporary food establishments. r. The vendor shall provide a complete list of his/her staff to Southwest Publishing, Marketing and Entertainment. This list will be comprised of not more than a total of five (5) persons, with no more than five (5) persons present at any one time for information only and non-food vendors. Vendors must complete and submit the attached list of his/her staff to the Southwest Publishing, Marketing and Entertainment. In addition, only people working in the booth and wearing the Southwest Publishing Marketing and Entertainment ID badge will be allowed inside the booths. The vendor shall comply with any additional rules and regulations set forth by Southwest Publishing, Marketing and Entertainment prior to and during the event. t. The vendor hereby agrees to indemnify and render harmless the Southwest Publishing, Marketing and Entertainment against any and all claims arising from the vendor’s participation at the Southwest Entertainment Festival. u. Vendors are responsible to participate in all marketing. The following is a list of requirements to ensure marketing has been covered from Vendors and SPME: Vendor shall submit their pdf logo to southwestpublishingllc@gmail.com within 3 days of agreement. All social media marketing must be done weekly (upon signing the agreement) by posting what type of booth you will be showcasing at the event and tagging SPME/Kenneth Thompson or Melissa Thompson and the website. Everyone in your vendor booth is required to complete all marketing expectations. All paper and flyer advertisement must be posted up in your business at least 60 days prior to the event. In the event you run out of any marketing material, contact SPME immediately to have it replenished All social media friends should be invited to the event on our Face book Event page. Failure to comply with any or all of the festival rules and regulations of Southwest Publishing, Marketing and Entertainment and the City shall result in a breach of this contract and automatic termination from Southwest Publishing, Marketing and Entertainment event. Vendor agrees to comply with all applicable City, County, and State and Federal laws and shall conduct no illegal act during the event. Failure to comply with any or all of the festival rules and regulations of Southwest Publishing, Marketing and Entertainment and the City shall result in a breach of this contract and automatic termination from Southwest Publishing, Marketing and Entertainment event. Southwest Publishing, Marketing and Entertainment reserves the right, in its exclusive discretion, to expel anyone who in it is judgment has violated this provision. The vendor shall be liable for any damages to the festival site and/or other property located at the festival site which may result from the vendor’s use of the booth. The vendor hereby agrees to execute a confession of judgment to Southwest Publishing, Marketing and Entertainment or therefore state penalties and costs as a result of his/her default and/or cancellation of this contract. This agreement represents the full terms and conditions between the vendors and Southwest Publishing, Marketing and Entertainment.
